All services are delivered on a project basis and may vary depending on the agreed scope.

**Project Agreements** All work begins only after a proposal or agreement is approved by the client.

**Scope of Work** The scope of work will be clearly defined before starting. Any changes must be agreed upon and may affect cost and timeline.

**Client Responsibilities** Clients are expected to: • Provide required content, assets, and access • Give timely feedback and approvals • Communicate clearly during the project • Make payments as agreed

Delays in communication or approvals may impact delivery timelines.

**Payment Structure** Payment terms are defined per project. In most cases:

• A percentage upfront is required to begin work
• Remaining payments are tied to milestones or delivery

**Project-Based Work** We work on a project basis, not hourly tracking. Payments are tied to deliverables, not time spent.

**Late Payments** Payments must be made within agreed timelines. Delays may result in paused work.

**Refund Policy** • If no work has started, a full refund may be issued • Once work has started, refunds are based on completed work • After delivery, payments are non-refundable unless agreed otherwise

**Ownership of Work** Upon full payment, clients receive ownership of final deliverables as defined in the project agreement.

**XinrLabs Rights** We retain the right to: • Showcase completed work in our portfolio • Use general knowledge, systems, and approaches developed during projects

**Third-Party Assets** Projects may include third-party tools or assets (fonts, libraries, APIs). Clients are responsible for maintaining any required licenses unless otherwise agreed.

We respect client confidentiality.

Any sensitive information shared during a project will not be disclosed to third parties without permission.

We are open to signing Non-Disclosure Agreements (NDAs) before project start when required.

We aim to deliver high-quality work that meets agreed requirements.

However: • We do not guarantee specific business results (such as sales, traffic, or rankings) • We do not guarantee uninterrupted or error-free systems • We are not responsible for issues caused by third-party platforms or services

Our liability is limited to the amount paid for the specific project.

**By Client** Clients may cancel a project at any time. Payment will be required for all completed work up to that point.

**By XinrLabs** We may stop work if: • Payments are not made • Communication breaks down • Project scope changes significantly • Unprofessional or abusive behavior occurs

In such cases, completed work will be delivered after settlement.

**Revisions** Projects include a limited number of revisions as defined in the agreement.

Additional revisions or major changes may be treated as new work.

**Support** Basic bug fixes may be provided after delivery if agreed. Ongoing support requires a separate agreement.

We are not responsible for issues caused by: • Client-side modifications • Third-party services • Systems outside the agreed scope

We aim to resolve all issues through clear and direct communication.

If a dispute arises, both parties agree to first attempt resolution through discussion.

These terms are governed by applicable local laws. Any unresolved disputes may be handled through appropriate legal channels.

These terms, along with any project agreement, form the complete understanding between XinrLabs and the client.

We may update these terms when necessary. Continued use of our services means acceptance of the updated terms.

If any part of these terms is found invalid, the remaining provisions will still apply.
