Welcome to XinrLabs. These Terms and Conditions govern your use of our website located at xinrlabs.com and the services we provide. By accessing or using our website and services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

These terms apply to all visitors, users, and others who access or use our services. Please read them carefully before using our services.

XinrLabs provides digital services including but not limited to:

• Web Development (Websites, Web Applications, E-commerce Solutions)
• Mobile App Development (iOS and Android Applications)
• AI & Automation Solutions (Chatbots, Process Automation, ML Integrations)
• UI/UX Design (User Interface and User Experience Design)
• Branding & Graphic Design (Logo Design, Brand Identity, Marketing Materials)
• Video Editing & Motion Design (Promotional Videos, Social Media Content)
• Custom Software Development (APIs, Internal Tools, Business Software)
• SaaS Product Development (Multi-tenant Applications, Subscription Platforms)

All services are subject to these Terms and Conditions and any additional terms agreed upon in individual service agreements.

**Project Proposals and Quotes** All project proposals and quotes provided by XinrLabs are valid for 30 days unless otherwise specified. Acceptance of a proposal constitutes agreement to these Terms and Conditions as well as any specific terms outlined in the proposal.

**Scope of Work** The scope of work will be clearly defined in the project proposal or statement of work. Any changes to the scope must be agreed upon in writing by both parties and may result in additional costs or timeline adjustments.

**Client Responsibilities** Clients are responsible for: • Providing timely feedback and approvals • Supplying necessary content, materials, and access required for project completion • Reviewing and testing deliverables within agreed timeframes • Making payments according to the agreed schedule

**Payment Structure** Payment terms will be specified in the project proposal. Generally, we operate on the following structure: • 50% upfront payment to commence work • 25% upon completion of a major milestone • 25% upon final delivery and project completion

For projects under $5,000, full payment is required upfront.

**Payment Methods** We accept payments via bank transfer, credit card, PayPal, and Wise (TransferWise). All payment processing fees are the responsibility of the client.

**Late Payments** Invoices are due within 14 days of issuance unless otherwise agreed. Late payments may incur a fee of 5% per month on the outstanding balance. Work may be suspended for accounts with payments overdue by more than 30 days.

**Refund Policy** • Within 7 days of project start: Full refund if no work has been completed • After work has begun: Refunds will be prorated based on work completed • After project delivery: No refunds unless specifically agreed upon in writing

**Ownership of Work** Upon full payment, clients will receive ownership rights to the final deliverables as specified in the project agreement. This typically includes: • Source code (excluding proprietary frameworks or libraries) • Design files and assets • Documentation • Deployment configurations

XinrLabs retains the right to: • Use the project in our portfolio and marketing materials • Include the project in case studies (unless specifically excluded by NDA) • Reuse general methodologies and approaches developed during the project

**Third-Party Assets** We may use licensed third-party assets (fonts, stock images, software libraries) in our work. Clients are responsible for obtaining and maintaining appropriate licenses for continued use of these assets. Costs for premium third-party assets are billed separately unless otherwise agreed.

**Open Source Software** Some projects may incorporate open-source software. Use of such software is subject to the respective open-source licenses. We will inform clients of any significant open-source components used in their projects.

**Non-Disclosure** XinrLabs agrees to maintain the confidentiality of all proprietary information disclosed by the client during the course of the project. We will not disclose such information to third parties without prior written consent.

**Data Protection** We implement appropriate technical and organizational measures to protect client data. However, clients are responsible for: • Maintaining backups of their own data • Ensuring their own compliance with data protection regulations • Notifying us of any security concerns promptly

**NDA** We are happy to sign Non-Disclosure Agreements for projects involving sensitive information. Standard NDAs must be provided by the client before project commencement.

**Service Warranty** XinrLabs warrants that services will be performed in a professional and workmanlike manner. We warrant that our work will conform to the specifications outlined in the project proposal for a period of 30 days from delivery.

**Limitations** • We do not warrant that the services will meet your specific requirements • We do not warrant that the service will be uninterrupted, timely, or error-free • We do not warrant that any defects in the service will be corrected • We do not guarantee specific results, rankings, or business outcomes

**Limitation of Liability** To the maximum extent permitted by law, XinrLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability shall not exceed the total amount paid for the specific project giving rise to the liability.

**Termination by Client** Clients may terminate the agreement by providing written notice. Upon termination: • Client remains liable for all work completed up to the termination date • Any prepaid amounts for uncompleted work will be refunded on a prorated basis • XinrLabs will deliver all completed work and materials to the client

**Termination by XinrLabs** We reserve the right to terminate services if: • Client fails to make payments as agreed • Client fails to provide necessary cooperation or materials • Client engages in abusive or inappropriate behavior • Project requirements fundamentally change beyond the original scope

Upon termination by XinrLabs, clients will be responsible for payment of all work completed to date.

**Included Revisions** Projects include a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond this scope may incur extra charges.

**Revision Process** • All revision requests must be provided in writing • Revisions should be consolidated and provided together when possible • Major changes to scope or requirements may be treated as new work

**Post-Launch Support** Unless otherwise agreed, projects include 30 days of bug fix support after launch. Extended support and maintenance can be arranged through a separate maintenance agreement.

**Third-Party Issues** We are not responsible for issues arising from: • Third-party service changes or outages • Client modifications to delivered work • Integration with systems not part of the original scope

**Good Faith Negotiation** Both parties agree to attempt to resolve any disputes through good faith negotiation before pursuing other remedies.

**Governing Law** These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which XinrLabs is registered, without regard to its conflict of law provisions.

**Arbitration** Any dispute arising from these terms shall be resolved through binding arbitration. The arbitration shall be conducted in English and the decision of the arbitrator shall be final and binding.

**Injunctive Relief** Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

**Entire Agreement** These Terms and Conditions, together with any project proposal or statement of work, constitute the entire agreement between you and XinrLabs regarding our services.

**Amendments** We reserve the right to amend these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the new terms.

**Severability** If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

**Waiver** Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights.
